These terms govern access to and use of LegalCloud, a software-as-a-service (SaaS) platform to manage, publish and distribute legal and corporate documents, provided by INTERNET&BUSINESS SYSTEM, S.L. (“LegalCloud”). By creating an account or subscribing to a plan, the customer accepts these terms.
1. Purpose and parties
The contract is concluded between LegalCloud and the natural or legal person who creates an account (the “Customer”). The service is aimed at professionals and businesses. The terms in force at the time of subscription apply; the legal notice and the privacy and cookie policies form part of them by reference.
2. Account and access
The Customer provides truthful and complete data and keeps it up to date. Access is by a verification code sent to the email address; the Customer safeguards their credentials and is responsible for activity from their account, including that of the users they invite to their organisation and the API tokens they generate.
LegalCloud may suspend or cancel accounts with false data or that breach these terms, giving notice where possible.
3. Plans, limits and add-ons
LegalCloud offers a free plan with reduced features and limits and paid plans (Silver, Gold, Agency, and one-off “lifetime” options) with more features and limits. Add-ons extend certain plan limits. The current limits of each plan and add-on (documents, sites, users, versions, API call quota, etc.) are published on the plans page and in the customer area.
The “lifetime” option is a one-off payment that gives access to the purchased plan for as long as LegalCloud maintains the service; it does not mean a service for the lifetime of the Customer.
4. Prices, taxes and payment
Published prices are shown excluding taxes. VAT or other applicable taxes are added at checkout according to the Customer’s country and are shown in the payment summary and on the invoice.
Payment is made in advance through the Stripe payment gateway. Each charge generates an invoice issued through Stripe, which the Customer can view and download. Prices may change; a change does not affect an already paid period and is notified at least 30 days in advance to current subscriptions.
5. Renewal, cancellation and plan changes
Subscriptions are annual and renew automatically for equal periods until the Customer cancels. Cancellation can be made at any time from the customer area and takes effect at the end of the period already paid.
When upgrading, the prorated difference for the current period is charged. When downgrading, the change applies at the end of the period. If, after a downgrade, the end of an add-on or a cancellation, the Customer’s usage exceeds the resulting limits, LegalCloud will notify the Customer and allow 30 days to adjust; after that period the excess content may be deleted, starting with the most recent and keeping the oldest.
6. Withdrawal and refunds
If the Customer acts as a consumer, they have the 14-day right of withdrawal provided by consumer law, except in the cases the law excludes, such as services or digital content already started with their express consent and acknowledgement that they lose that right once performed. To exercise it, write through the contact form on the Site.
Outside that case and unless required by law, amounts paid for periods already started are non-refundable.
7. Acceptable use
The Customer will not use the service for unlawful activities, to infringe third-party rights, to send malicious content, to circumvent limits or security measures, or to overload the platform. API use respects the plan quotas.
8. Customer content and intellectual property
The Customer keeps all rights to the documents and content they host and grants LegalCloud a limited, non-exclusive licence to store, process and display them solely to provide the service. The Customer warrants they have the right to use them and is responsible for their lawfulness.
The software, design, trademarks and other elements of the platform belong to LegalCloud or its licensors. The Customer is granted a personal, non-exclusive, non-transferable right of use for the duration of the contract.
9. Availability and support
LegalCloud strives to keep the service continuously available but does not guarantee the absence of interruptions, which may be due to maintenance or external causes. Support is provided through customer-area tickets and the contact form.
10. Liability
LegalCloud is a document-management tool and does not provide legal advice: the Customer is responsible for the content of their documents and for their compliance with the law. Except for wilful misconduct or gross negligence, and without prejudice to liability that the law does not allow to be excluded or to consumers’ rights, LegalCloud’s total liability to the Customer is limited to the amounts paid by the Customer in the 12 months preceding the event giving rise to it. LegalCloud is not liable for loss of profit or indirect damages.
11. Term, suspension and termination
The contract lasts while the account is active. LegalCloud may suspend or terminate the service for serious breach of these terms or non-payment. When the account is deleted, data is erased in accordance with the privacy policy, except what must be kept by law.
12. Data protection
Personal data processing is governed by the privacy policy. For third parties’ personal data that the Customer includes in their content, the Customer is the controller and LegalCloud acts as processor, as described in that policy.
13. Changes to the terms
LegalCloud may amend these terms for legal, technical or service reasons. Material changes are notified at least 30 days in advance by email or in the customer area; if the Customer disagrees, they may cancel before they take effect.
14. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, and unless mandatory law provides another forum (in particular for consumers), the parties submit to the courts of Valencia. Consumers in the European Union may use the European Commission’s online dispute resolution platform: https://ec.europa.eu/consumers/odr.
